Terms & Conditions

1. Validity. This quotation is valid for 30 days from the date issued. Beyond that, prices and scope may be revised.

2. Scope. Services delivered are strictly those described in this quotation and its line items. Any additional work requested during the engagement will be quoted separately and added in writing before being performed.

3. Pricing & VAT. All prices are in EUR, excluding VAT. VAT is added at the rate applicable to the customer's tax residency (Madeira 22%, mainland Portugal 23%, Açores 16%, intra-EU B2B with valid VAT ID 0% reverse charge, non-EU 0% export of services).

4. Payment terms. Standard terms are Net 30 from invoice date. Fixed-price projects are invoiced 50% on engagement (signed quotation) and 50% on delivery, unless otherwise stated in the project Statement of Work. Maintenance retainers are billed monthly in advance.

5. Late payment. Overdue invoices are subject to statutory commercial late-payment interest (currently 10.15% per annum under Portuguese Decreto-Lei nº 62/2013, Art. 102(5), updated each semester) plus a fixed €40 administrative collection compensation per Article 7 of the same law.

6. Client responsibilities. The client undertakes to provide timely access to systems, data, decision-makers, and any third-party services required for the engagement to proceed. Delays attributable to the client may impact timeline and price.

7. Intellectual property. Upon full payment, the client receives ownership of custom code and configurations developed specifically for their project. ITConect retains ownership of its pre-existing tools, frameworks, and methodologies used in service delivery.

8. Warranty. Services are performed in a professional manner consistent with industry standards. Custom development is warranted against defects for 90 days following delivery.

9. Limitation of liability. ITConect's total liability under this engagement shall not exceed the fees paid for the specific services giving rise to the claim. ITConect is not liable for indirect, incidental, or consequential damages.

10. Confidentiality. Both parties agree to keep all business, technical, and financial information shared during the engagement confidential. This obligation survives termination.

11. Termination. Either party may terminate an engagement with 30 days' written notice. Client pays for all work completed to date; ITConect delivers all work product completed to date; both parties return or destroy confidential information.

12. Dispute resolution. Disputes are first addressed through good-faith negotiation. If unresolved within 30 days, disputes are subject to Portuguese law and the exclusive jurisdiction of the courts of Funchal, Madeira.

13. Data protection. Personal data processed during the engagement is handled in accordance with GDPR. Where ITConect acts as a data processor, a Data Processing Agreement (available on request) governs the relationship.
